Terms of Service

This Platform Service Agreement (“Agreement” or “Terms”) is a binding legal agreement between you (“you” or “User”) and ANTE Digital INC, a Delaware corporation (“ANTE,” “we,” “us,” or “our”), governing your use of Outcome.gg, including our website at app.outcome.playante.net, our iOS application, our Windows companion application, and any related services (collectively, the “Platform”).

1. Platform Overview and User Types

1.1 Platform Description

Outcome.gg is a prediction-market and live-streaming platform that connects three categories of participants:

• Bettors: Verified users who place positions on the outcomes of gaming, esports, and live-stream events.
• Streamers (Creators): Verified content creators who broadcast live gameplay, host markets, and may participate in 1v1 Showdowns.
• Game Publishers and Data Providers: Third parties whose games, events, and data feeds are referenced on the Platform.

1.2 Account Types

• Viewer Accounts: For age-verified users who participate as bettors, viewers, and chat participants.
• Streamer Accounts: For age-verified content creators who broadcast on Outcome.gg and host markets or 1v1 Showdowns.
• Companion App: A Windows desktop application paired to a Streamer Account that captures gameplay and routes it to Outcome.gg's streaming relay.

1.3 Legal Classification

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) to access adult features such as wallet, betting, and 1v1 Showdowns. By creating an account or using adult features, you represent and warrant that you have reached this age. Outcome.gg uses third-party identity verification to confirm your age via government-issued ID and biometric verification.

Users below the age of majority may use a limited subset of the Platform that does not involve wagering, deposits, or withdrawals. We do not knowingly collect personal information from users under the age of 13 (see Section 6 of our Privacy Policy).

2.2 Geographic Restrictions

The Platform is currently available only to residents of the United States in jurisdictions where its product offering is lawful. Due to varying state and local regulations, certain features (including but not limited to wagering, deposits, and withdrawals) are not available to residents of prohibited states. By creating an account, you represent that you are physically located in, and a resident of, a permitted jurisdiction. Use of VPN, proxy, or any other technology to circumvent geographic restrictions is strictly prohibited and will result in account termination and forfeiture of funds.

2.3 Identity Verification (KYC)

To access wallet, betting, withdrawal, and 1v1 Showdown features, you must complete identity verification (“KYC”) through our verified third-party providers (which today include Didit and Reown). KYC requires:

• Full legal name matching government-issued ID
• Date of birth
• Government-issued photo identification (driver's license, passport, or state ID)
• U.S. Social Security Number where required for tax-reporting purposes (for cumulative winnings exceeding $600 in a calendar year)
• Physical residential address
• Facial biometric verification (liveness check)

We may request additional information at any time to comply with applicable anti-money-laundering, sanctions, and tax-reporting obligations. Refusing or failing to complete enhanced verification when requested will result in suspension of your wallet and adult features.

2.4 Account Security

You are responsible for maintaining the confidentiality of your account credentials (Apple ID, OAuth tokens, wallet seed phrases) and for all activity that occurs under your account. Notify us immediately at support@playante.net if you suspect unauthorized access. ANTE Digital INC is not liable for losses resulting from your failure to safeguard credentials.

3. Platform Services for Bettors

3.1 Markets

Bettors may take positions on prediction markets that resolve to verifiable real-world outcomes — including but not limited to outcomes of competitive gaming matches, esports tournaments, and milestones within live broadcasts (e.g. kill counts, viewership, in-stream events). Markets are categorized as binary (Yes/No) or multi-outcome and are settled by the Platform based on the resolution criteria stated on each market page.

3.2 Wager Mechanics

Wagers are placed in the in-app wallet currency (which may be backed 1:1 by U.S. dollars where regulations permit) and are subject to per-market and per-account limits set by ANTE Digital INC. The Platform may apply a transaction fee, market liquidity fee, or settlement spread; the fee structure for each market is disclosed at the point of trade.

3.3 Settlement

Markets settle when the underlying outcome is determined and verified. ANTE Digital INC is the final arbiter of market resolution and reserves the right to void, refund, or re-settle a market in cases of manifest error, third-party data-feed error, or fraud. Settlement decisions are final and not subject to appeal except in the case of demonstrable platform error.

4. Platform Services for Streamers

4.1 Streamer Eligibility

Streamer Accounts require successful completion of KYC and (where applicable) tax-information collection (Form W-9 for U.S. persons, W-8BEN for non-U.S. persons). Streamers may be subject to additional content guidelines and brand-safety requirements communicated separately.

4.2 Streamer Monetization

Streamers may receive a share of platform fees from markets attached to their broadcasts and from 1v1 Showdowns they host. The exact revenue-share schedule is published in the Streamer dashboard and may be revised on 30 days' notice.

4.3 Content Restrictions

Streamers must not broadcast content that infringes third-party intellectual property, violates a game publisher's terms of service, contains illegal or sexually explicit material, or otherwise violates these Terms or applicable law. Outcome.gg uses both automated and human content moderation, and reserves the right to terminate any broadcast at any time.

5. 1v1 Showdowns

5.1 Description

A “1v1 Showdown” is a head-to-head competitive match initiated by one Streamer or Verified User (“Host”) and accepted by another (“Opponent”). Outcomes resolve by objectively verifiable in-game results. Viewers may take prediction-market positions on the Showdown's outcome.

5.2 Lifecycle

Showdowns transition through the following states: pending (invite issued, awaiting Opponent), live (both participants connected), completed (winner determined), cancelled (Host withdrawal), or expired (invite not accepted within the window). The Platform sends a push notification to the Opponent on invite creation and may use real-time channels to coordinate state across participants.

5.3 Wagers and Cancellation

Where a Showdown carries a wager, the Host's wager is debited from the wallet at the moment of acceptance by the Opponent. Cancellation by the Host before acceptance refunds the wager in full. Cancellation after acceptance, or any disputed completion, is resolved by ANTE Digital INC at its sole discretion and may result in partial refund, void, or full payout depending on the facts.

6. Wallet, Deposits, and Withdrawals

6.1 Wallet

ANTE Digital INC operates a digital wallet that records your deposits, wagers, winnings, fees, and withdrawals. Wallet balances are not insured deposits and do not earn interest.

6.2 Deposits

You may fund your wallet via the payment methods made available by ANTE Digital INC, which may include payment-card transactions, ACH transfers, or supported on-chain payment rails through our verified provider Reown. Deposit fees, processing times, and limits are disclosed at the point of deposit.

6.3 Withdrawals

Withdrawals are processed after KYC verification and may be subject to anti-money-laundering review, transaction limits, and waiting periods. ANTE Digital INC reserves the right to delay, reverse, or refuse a withdrawal where there is reasonable suspicion of fraud, account compromise, or violation of these Terms. Withdrawal fees and processing times are disclosed at the point of withdrawal.

6.4 Inactive and Dormant Wallets

If your account is inactive for an extended period, ANTE Digital INC may charge a reasonable dormancy fee or remit the balance to the appropriate state unclaimed-property authority where required by law.

7. Responsible Play

ANTE Digital INC takes responsible-play obligations seriously. The Platform offers (or will offer prior to public launch) the following tools:

• Deposit limits (daily, weekly, monthly)
• Wager limits per market and per session
• Session time limits and reality checks
• Self-exclusion (temporary or permanent)
• Rapid account-closure on request

8. Prohibited Conduct

You agree not to:

• Create more than one account, share an account, or use someone else's identity
• Use cheats, exploits, automation, bots, or third-party software that interacts with the Platform in a way not authorized by ANTE Digital INC
• Engage in match-fixing, collusion, wash trading, spoofing, or any form of market manipulation
• Use a VPN, proxy, or other technology to circumvent geographic, age, or KYC restrictions
• Engage in money laundering, structuring, or sanctions evasion
• Harass, threaten, dox, or impersonate any other person on the Platform
• Reverse-engineer, decompile, or disassemble any Platform component
• Scrape, mirror, or commercially redistribute Platform content without written permission
• Attempt to interfere with the security, integrity, or availability of the Platform (including denial-of-service attempts and credential-stuffing)

Violations may result in temporary suspension, permanent account termination, forfeiture of wallet balance, and where appropriate, civil or criminal referral.

9. Streaming Content and Third-Party Services

9.1 Live Streaming

Outcome.gg's live-streaming infrastructure is powered by LiveKit for real-time WebRTC delivery and supplementary HLS/RTMP relays operated by ANTE Digital INC. By broadcasting on or viewing through Outcome.gg, you acknowledge that audio and video are routed through these systems for real-time delivery.

9.2 Third-Party Integrations

The Platform integrates with third-party services including, without limitation, Twitch, Kick, YouTube, Apple Sign In, Reown (wallet and KYC), Didit (KYC), Apple Push Notification service, Supabase (data and auth), Hostinger (infrastructure), and others. Use of these integrations is subject to the respective providers' terms of service and privacy policies. ANTE Digital INC is not responsible for third-party services and disclaims any liability arising from their availability, behavior, or data-handling practices.

9.3 OAuth and Channel Linking

When you link a third-party account (e.g. Twitch, Kick, YouTube), you authorize Outcome.gg to read and (where you have granted scope) act on your behalf as described at the point of authorization. You may revoke OAuth grants at any time from your Outcome.gg settings or directly from the third-party provider. Revocation may disable certain features.

10. Intellectual Property

10.1 Platform IP

The Outcome.gg name, logo, the “Outcome.gg” wordmark, the underlying software, the user interface, design elements, and all related content are owned by or licensed to ANTE Digital INC and are protected by U.S. and international intellectual-property laws. Nothing in these Terms grants you any license to use the Outcome.gg or ANTE Digital INC marks except as expressly permitted in the Streamer brand kit.

10.2 Your Content

You retain ownership of content you broadcast or post on the Platform. You grant ANTE Digital INC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, transcode, display, distribute, and create derivative works (such as clips and highlights) of your content for the purpose of operating, improving, and promoting the Platform. This license terminates when you remove the content, except for copies retained as part of routine backups, legal holds, or as required by law.

10.3 DMCA

If you believe content on the Platform infringes your copyright, please send a properly formatted notice under 17 U.S.C. § 512(c) to legal@playante.net.

11. Disclaimers

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, ANTE Digital INC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Outcome.gg makes no warranty regarding the accuracy of third-party data feeds (e.g., scoreboard, stream-status, or odds providers) and is not liable for errors propagated from such feeds.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTE DIGITAL INC AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR INTERRUPTION OF SERVICE — ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. ANTE DIGITAL INC's TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ANTE DIGITAL INC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless ANTE Digital INC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual-property, publicity, or privacy right; or (d) any claim that your content caused damage to a third party.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing any formal claim, you agree to first contact legal@playante.net and attempt in good faith to resolve the dispute for at least 30 days.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The seat of arbitration shall be Wilmington, Delaware, and the arbitration shall be conducted in English. Judgment on the award may be entered in any court having jurisdiction.

14.3 Class Action Waiver

YOU AND ANTE DIGITAL INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator shall have no power to consolidate claims or preside over any form of class or representative action.

14.4 Opt-Out

You may opt out of this arbitration agreement by sending a written opt-out notice to legal@playante.net within 30 days of first accepting these Terms. Opting out does not affect the validity of the rest of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the arbitration provisions.

16. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email, in-app notice, or by updating the “Last updated” date at the top of this page. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.

17. Termination

ANTE Digital INC may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and arbitration) shall survive.

18. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms posted on the Platform, constitute the entire agreement between you and ANTE Digital INC. If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms; ANTE Digital INC may assign them in connection with a corporate transaction.
